TERMS AND CONDITIONS
This agreement is between you and JustPrint.com, LLC ("We,” “Our, or “Us”). We provide customers with a wide variety of internet printing services, direct mail services and design services (collectively, the "Services"). You (referred to herein as "You," "Your," or "User") agree that the use of this site is governed by the terms and conditions set forth below. We reserve the right to make modifications, alterations and updates to this site and these Terms & Conditions at any time without notice to You.
1. Copyright: All content included on this site (collectively called the "Content"), and the collection, arrangement and assembly of the Content, is the property of or licensed by Us or Our suppliers and service providers, and is protected by applicable law. The Content on all pages of this website is provided solely for the use of Our customers to interact with Us and may not be used by You, or any other person or entity, for any other purpose. No interest in the Content, whether in whole or in part, may be sold, assigned, encumbered, licensed or otherwise transferred by You or any third parties. When using any Services provided via Our website, You may elect to upload or otherwise submit materials to the site (collectively, "Materials"). We do not supervise the uploading of any user-provided Materials to this site, although We reserve the right to do so. You agree that in using the Services, You will not upload, submit or transmit to Us: Materials that are unlawful, threatening, abusive, defamatory, obscene or which invade another person's privacy or further the commission or concealment of a crime; Materials that are not lawfully Yours to transmit; Materials that are the subject of, or which infringe upon, any patent, trademark, trade name, trade secret, copyright, right of publicity, moral right or other intellectual property right of another person or entity; Materials containing software viruses or other harmful computer code; or Materials that in any way interfere with or disrupt the Services or any servers or networks connected to or used with the Services. You also warrant that You own the copyright or have permission to copy any documents or Materials You submit online for printing or processing.
2. Trademarks: All service marks, trademarks, trade names, trade dress and other indicia of source used herein and otherwise by Us (collectively, the "Marks") are proprietary to Us or other respective owners that have granted Us the right and license to use such Marks. You do not receive any trademark rights or any other rights in or to the Marks. You do not receive any trademark rights in or to the Content. JustPrint.com is a proprietary mark of JustPrint.com, LLC. All other trademarks and trade names are the property of their respective owners and are used by permission.
3. Disclaimer of Warranties and Limitation of Liability: WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO ITS SERVICES, PRODUCTS AND MATERIALS, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE WILL NOT BE LIABLE FOR ANY DIRECT, SPECIAL CONSEQUENTIAL, INCIDENTAL, PUNITIVE OR OTHER INDIRECT DAMAGES UNDER ANY THEORY OF LAW (i) ARISING OUT OF USER'S USE OF THIS WEBSITE IN ANY MANNER; (ii) FOR ANY ERRORS IN THE INFORMATION, CONTENT, SERVICES, PRODUCTS OR MATERIALS ON THIS SITE; (iii) FOR THE PROVISION OR USE OF ANY INFORMATION, CONTENT, SERVICES, PRODUCTS OR MATERIALS VIA THIS WEBSITE; (iv) FOR ANY NONDELIVERY, MISDELIVERY, LATE DELIVERY, OR LOST OR DAMAGED SHIPMENTS OR FOR ANY OTHER REASON, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, BUSINESS, DATA OR USER-PROVIDED MATERIALS, EVEN IF YOU HAVE ADVISED US OF THE POSSIBILITY OF SUCH DAMAGES. WE WILL NOT BE LIABLE FOR, NOR MAKE ANY ADJUSTMENT, REFUND OR CREDIT FOR, ANY LOSS, CORRUPTION, DELAY, MISPRINT, NON-PRINT, MISDELIVERY, NONDELIVERY, OTHER DIRECT OR INDIRECT DAMAGES, OR FAILURE TO PROVIDE PRINTED PRODUCTS, PRINTING SERVICES OR SHIPPING SERVICES.
4. Order Acceptance: The receipt of an e-mail order confirmation does not constitute the acceptance of an order or a confirmation of an order. We reserve the right, without prior notification, to limit the order quantity on any item, and refuse service to any customer. Verification of information may be required prior to the acceptance of any order. No obligation to provide services exists between You and Us until We exercise the authorization to charge Your credit card, and the charge is validated and accepted by Your credit card company.
5. Termination: In the event that We learn of, or have reasonable grounds to suspect, that Your registration information is inaccurate, or that activity in violation of these Terms & Conditions has occurred within Your account, we may suspend or terminate Your access to Your account or the Services without notice and refuse to authorize its future use. Repeated violations of these Terms & Conditions may result in immediate termination. In addition, We reserve the right to discontinue the Services at any time without reason or advance notice to You.
6. Applicable Law and Resolution of Disputes: These Terms and Conditions are governed by the laws of the State of Pennsylvania, without giving effect to any principles or conflicts of law.
Any dispute arising out of or relating to these Terms and Conditions, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Montgomery County, PA in accordance with the Federal Arbitration Act.
7. Registration on JustPrint.com: By registering on JustPrint.com, You agree to provide accurate and current information about Yourself as prompted by the Our Login Registration pages and maintain and promptly update Your online profile information to keep it accurate and current. When You register using Our Login Registration, You will create a user ID and password. You agree to (a) immediately notify Us of any unauthorized use of Your user ID and password, and (b) ensure that You exit from Your session at the end of each visit.
8. Transfer of Title: You agree that the shipping terms for all printed products are FOB shipping point and ownership transfers to the customer upon shipment. This means that the risk of loss and title for such items pass to You upon our delivery to the carrier. For any product that is to be provided to You in an electronic format, You agree that delivery of such product shall be deemed to have occurred either (a) at the time we transmit the product via email or other electronic communication addressed to You or (b) at the time we transmit a notification to You that the product is available for downloading from the Site.
9. Indemnification: To the maximum extent permitted by law, You agree to indemnify, defend and hold Us, Our officers, directors, employees, shareholders, agents, affiliates, subsidiaries, suppliers and representatives, past and present, harmless from and against any and all claims, damages, losses, costs, and expenses (including but not limited to attorneys' fees) that arise directly or indirectly from one or more of the following: (a) Your breach of any provision of these Terms & Conditions; (b) any Materials You provided; or (c) any of Your activities conducted in connection with this site. Your duty to defend shall arise immediately upon the making of any claim, and shall not depend on the proof of the validity of a claim.
10. Printing & Proofs: We use a highly automated production process that enables it to provide quality offset process color printing at affordable prices. If You determine that You need to submit new files after we have shown You an online proof, You can do so by rejecting the current PDF proof and following the Upload Art prompts in Your account page. By the time You send Your job to press, the copy should be carefully proofread and all design issues shall be deemed resolved.
11. Color Reproduction: PDF proofs shall not to be used for setting color expectations. Hard copy proofs viewed under ISO 3664:2000 conditions may be used to predict color. When stock selection allows, printing conditions comply with ISO 12647-2, Gracol7 characterization data. When stock selection does not enable standardized printing, the G7 calibration method is used to match the visual appearance as closely as possible to Gracol7. 12. Reprints: If a job is unacceptable due to defects in workmanship, We will reprint and ship the job at the original paid method or issue a credit toward future print orders. No cash refunds will be made. We reserve the right to have 100% of the original run returned to us for inspection before either a reprint or a credit is granted. In some instances, and solely at Our discretion, We may issue a reprint before the entire original run is returned. You must notify Us within ten (10) business days of receipt of any defects in the product.
13. Payment: We offer prepaid printing services. We reserve the right to refuse or place any order on hold if Your credit card is declined. All Credit Card transactions submitted are processed according to the highest security standards. Each authorized transaction undergoes a process of Address Verification. The cardholder billing address information provided by the Customer is compared with the billing address on file at the Customer’s credit card issuing bank. Credit Card information is only used to bill You for products and services ordered. Our secure shopping cart uses the latest secure server technology. Your order is submitted and retrieved with a secure connection to our server. We do not store credit card information. In the event that Your card must be charged for upgrades to products or services, You will be asked to provide this information again.
14. Cancellations: In order to adhere to our quick turnaround times, we process jobs as soon as we receive them and because each order is unique to You and has no re-sale value, all sales are final. In the case of a refund on an order that has not been sent to press, a $20 processing fee will be charged. This fee cannot be waived. If an order is cancelled after we have sent You a hard copy proof those charges for the hard copy proof are non-refundable. All orders that exceed thirty (30) calendar days from the time an order is submitted (including design proofs and pre-press proofs), will not be refunded. An in-house credit is available for orders that are in proof status and have not been printed. Design charges may apply for date or graphical changes to accommodate the delay in print.
15. Change Orders: All change orders are subject to a $20 processing fee in addition to any costs incurred in changing the order; i.e., upgrades in turnaround time, quantity, paper types, finishing options, etc. No changes can be made to an order once it has been sent to press, except to the shipping address and/or method.
16. Turn Around Times: All turnaround times are based on business days, Monday through Friday, and exclude all national and federal holidays. All jobs submitted into production before 7:00 P.M. EST will begin production the following business day. For orders on a one (1) day turn, jobs must be sent into production by 1:00 P.M. EST in order for the job to ship the next business day. After approval, we may place Your job on hold if we believe the artwork has any defects (e.g., low resolution) that will cause it to print unsatisfactorily. In this event, You will receive an email message notifying You, and Your job will be put on hold until You re-submit and re-approve new artwork. While a job is on hold in this manner, the production clock is stopped. Your turnaround time will start anew once You have either uploaded new artwork. We make every effort to meet customer needs; however, we are not obligated to expedite Your order if time is lost as a result of Your failure to meet minimum design requirements. If You choose to order a hard copy proof, it will be mailed the day after You approve the uploaded artwork by clicking on the “Send me my hard copy proof” button. In the event we ship a late job, the only remedy is to refund You the price difference between the requested and actual print schedule.

17. Overuns and Underruns: Over-runs or under-runs will not exceed 5%. If a job is short, we will prorate the missing quantity in the form of a credit toward future orders, or at our discretion, reprint the missing amount for jobs missing 500 or more pieces.
